The copyright notice and the disclaimer notice on our copyright pages of this web site is incorporated in these terms and conditions, and all users acknowledge they have read them if they proceed further beyond this point without exiting from the web site. 5. Except insofar as is provided in clause 6, and except insofar as these terms and conditions themselves constitute a contract, unless a specific written professional letter of engagement shall exist , bearing the signature of the firm specifying the terms of any contract between the firm and any identifiable specifically named user (the user) of this website then no such user shall be able to allege that a contract shall or has existed between the firm and that said user, and if such a letter shall exist then its terms shall be a full and exclusive description of the contract between the firm and the said user, and no other terms shall be implied into the said contract as a result of the user accessing this website or otherwise. If a client of our firm who has a specific written professional letter of engagement shall access any section of the website, then the client shall only hold the firm responsible for the contents of that section of the website and any actions he or she may have taken arising from the contents of that section of the website if he or she shall have obtained specific written confirmation from the firm that the detailed contents of that section of the website do apply to the particular circumstances of the client. 6. In consideration for the payment set out in clause (7), the user may print, transmit , store electronically or reproduce in any format whether electronic or otherwise (collectively known as ‘download’ or ‘downloading’’) one copy of any document on the website for the personal use only of the individual accessing the website and not for any further downloading, provided always that the act of downloading shall constitute an acknowledgement by the user that the disclaimer at the head of these terms and conditions shall apply in its entirety and that the contract between the firm and the user is limited to the right to download and does not extend to any other matter and also provided that the copyright notice of the firm is retained on the downloaded document. The user may view any document on screen free of charge provided it is not stored electronically for future use. 7. Except where the user is ,or is connected with, a firm of practising accountants or solicitors, where any payment is due under clause 6, the aggregate payment that a user shall make in any thirty day period shall not exceed £5 no matter how many documents are downloaded in that period. If the user is ,or is connected with, a firm of practising accountants or solicitors, then the fee payable is £1.00 per document downloaded, with a minimum payment of £5.00 in any calender month, and a maximum payment of £100 in any calender year. (‘Connected’ for this purpose has the broad sense attributed to persons ‘connected’ to trustees, as defined in the Charities Act). Payment shall be made by post to the firm within seven days of downloading. Upon receipt by the firm of payment, the firm shall acknowledge receipt either electronically or by post. 8. The Contracts ( Rights of Third Parties ) Act 1999 shall not apply to any relationship that may exist between the firm and the user whether in contract or otherwise, and any liability to third parties is excluded. 9. No liability in tort
or otherwise than by contract shall attach to the firm to the user or any
other third party as a result of the user directly or indirectly using any
information or document or directly or indirectly acting or refraining from
acting on any information or document contained within this website. |
